Terms of Service

These Terms of Service ("Terms") govern your access to and use of ProHighLevel, the website at https://prohighlevel.io, our application, and related services (collectively, the "Services") provided by Paipixel LLC ("Paipixel LLC", "we", "us", or "our"). By creating an account or using the Services, you agree to these Terms.

1. The Services

ProHighLevel is a software platform that may include CRM, pipeline management, voice calling, SMS/MMS messaging, fax, appointment scheduling, team collaboration, and prepaid usage billing. Features may change over time. We may add, modify, or discontinue features with reasonable notice when practicable.

2. Eligibility and accounts

  • You must be at least 18 years old and able to form a binding contract.
  • You are responsible for your account credentials and all activity under your workspace.
  • You must provide accurate registration information and keep it current.
  • You may not use the Services for unlawful, abusive, or fraudulent purposes.

3. Subscriptions, trials, and billing

  • Workspace plans are billed on a subscription basis through Stripe unless otherwise stated.
  • Free trials, if offered, convert to paid plans according to the plan you select or your configured auto-upgrade setting.
  • Phone numbers, calling minutes, messaging, fax, and other telecom usage may be billed separately from your subscription through a prepaid workspace balance.
  • Prices and included allowances are shown during signup or in your workspace billing settings.
  • Except where required by law, fees are non-refundable once a billing period has started.

4. Telecom and messaging compliance

You are solely responsible for compliance with laws and carrier rules applicable to your use of calling, SMS, MMS, and fax features, including consent, opt-out, do-not-call, and 10DLC registration requirements in the United States. You agree not to send spam, unlawful robocalls, or prohibited content. We may suspend messaging or calling features if we reasonably believe you are violating carrier policies or applicable law.

5. Acceptable use

You agree not to:

  • Violate any law or third-party rights
  • Transmit malware, attempt unauthorized access, or interfere with the Services
  • Harass, threaten, or defraud others
  • Use the Services to send unsolicited bulk messages without proper consent
  • Resell or sublicense the Services except as expressly permitted
  • Reverse engineer or copy the Services except as allowed by law

6. Your content

You retain ownership of content you submit to the Services ("Customer Content"). You grant us a limited license to host, process, transmit, and display Customer Content solely to provide and improve the Services. You represent that you have all rights necessary to submit Customer Content and that it does not violate these Terms or applicable law.

7. Intellectual property

The Services, including software, branding, and documentation, are owned by Paipixel LLC or its licensors and are protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding except as needed to use the Services.

8. Third-party services

The Services integrate with third parties such as payment processors, telecom carriers, email providers, and calendar platforms. Your use of those services may be subject to separate terms. We are not responsible for third-party services outside our reasonable control.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT TELECOM TRAFFIC WILL ALWAYS BE DELIVERED.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAIPIXEL LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You will defend, indemnify, and hold harmless Paipixel LLC from claims arising out of your use of the Services, your Customer Content, or your violation of these Terms or applicable law, including telecom compliance violations.

12. Suspension and termination

We may suspend or terminate access to the Services if you breach these Terms, fail to pay fees, pose a security risk, or if required by law or carriers. You may cancel your subscription through your workspace billing settings. Provisions that by nature should survive termination will survive.

13. Governing law

These Terms are governed by the laws of the United States and the state in which Paipixel LLC is organized, without regard to conflict-of-law principles, except where mandatory consumer protection laws apply in your jurisdiction.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Services or by email. Continued use after the effective date constitutes acceptance.
